Why Did Strategy Sell Bitcoin?

Strategy sold 1,638 bitcoin for approximately $104.7 million last week, using the proceeds to fund preferred stock distributions and repurchases of its STRC securities.

The company sold the bitcoin between July 27 and Aug. 2 at an average price of $63,957 per coin, according to a filing with the Securities and Exchange Commission. The transaction reduced Strategy’s holdings to approximately 842,138 BTC, worth about $52.6 billion at current prices.

Strategy acquired those holdings for a total cost of roughly $63.5 billion, including fees and expenses, at an average purchase price of $75,419 per bitcoin. That leaves the company with approximately $10.9 billion in unrealized losses while bitcoin trades below its average acquisition cost.

The sale is notable because Strategy spent years presenting bitcoin accumulation as the central objective of its capital strategy. Management is now using a portion of those holdings as a financing source for dividends, interest costs and securities repurchases.

Bitcoin fell slightly to around $62,400 following the filing, while Strategy shares declined in pre-market trading. The reaction reflected concern that the company may continue selling bitcoin when its preferred securities or cash obligations require additional support.

How Is Strategy Funding Its Capital Structure?

Strategy also sold 3,011,361 shares of MSTR during the week, raising approximately $290.6 million. The company still has about $22.7 billion of common shares available for issuance under its existing at-the-market program.

Of the proceeds, $250 million was used to increase Strategy’s U.S. dollar reserve to $4 billion. Another $28.9 million funded STRC repurchases, while the remaining $11.7 million was added to the company’s cash balance.

The combination of bitcoin sales and new equity issuance shows that Strategy is using several funding channels at the same time. Common shareholders face dilution when MSTR shares are issued, while bitcoin holders face reduced exposure when the company sells coins from its treasury.

Strategy’s preferred securities also create recurring cash requirements. Under its Digital Credit Capital Framework, the dollar reserve is primarily intended to cover preferred stock dividends and interest payments. The company has maintained STRC’s variable annualized dividend rate at 12%, making the security expensive to support when its market price remains below its $100 par value.

Investor Takeaway

Strategy is no longer relying only on share issuance to finance its obligations. Bitcoin has become an active source of liquidity, increasing the importance of STRC prices, dividend costs and the company’s dollar reserve for investors assessing future BTC sales.

Could Strategy Sell More Bitcoin?

The company has authorized a $1 billion repurchase program for its digital credit securities, initially prioritizing STRC, as well as a separate $1 billion common stock buyback.

Strategy also expanded its Bitcoin Monetization Program, allowing it to sell up to $5 billion of bitcoin to fund reserves, preferred dividends, interest payments and securities repurchases. The authorization gives management more flexibility but weakens the assumption that the company’s bitcoin holdings will only increase over time.

Onchain analysts had identified a wallet linked to Strategy moving 299.8 BTC, worth about $18.9 million, before the latest filing. The transfer resembled activity seen ahead of an earlier bitcoin sale announcement.

Executive Chairman Michael Saylor posted another bitcoin acquisition tracker on Sunday with the caption “Bitcoin Drive engaged.” His Sunday posts have historically preceded purchase announcements, but the message has become harder to interpret as the company alternates between bitcoin acquisitions, sales and capital-management transactions.

Strategy still controls approximately 4% of bitcoin’s 21 million supply cap. Its size means even limited sales can influence market expectations, particularly if investors believe the transactions could become recurring rather than exceptional.

What Does The Q2 Loss Mean For MSTR?

Strategy reported an $8.2 billion second-quarter loss, reversing a $10 billion profit in the same period a year earlier. The loss was driven mainly by unrealized declines in the value of its bitcoin holdings.

The company increased its bitcoin position by 11% during the quarter, reaching a peak of about 846,000 BTC before beginning to reduce its holdings. Strategy shares closed last week at $93.28, around 80% below their 2025 peak, while bitcoin declined 4.1% over the same week.

TD Cowen and Benchmark retained Buy ratings after the results, but both indicated that returning STRC to its $100 par value had become management’s primary near-term objective. Benchmark cut its MSTR price target to $435 from $570 after lowering its year-end 2026 bitcoin forecast to $100,000 from $125,000. TD Cowen maintained a $260 target.

The split reflects the central question facing Strategy investors. Higher bitcoin prices could repair much of the company’s balance-sheet pressure, but continued weakness may require further share issuance, reserve increases or bitcoin sales to support its increasingly complex capital structure.
