What Did Binance Buy From Circle?

Binance has invested $100 million directly in Circle Internet Group as part of an expanded five-year commercial agreement designed to increase USDC usage across the crypto exchange.

Circle issued Binance approximately 1.24 million Class A shares at $80.84 each in a private placement that closed on September 17. The transaction gives one of the world’s largest cryptocurrency exchanges a direct equity interest in the company behind USDC at the same time that Binance is being paid to promote and distribute the stablecoin.

The shares were sold at a discount to Circle’s market value before the transaction, according to the company’s regulatory filing. Binance cannot sell, transfer or hedge the shares until the earlier of two years or certain circumstances in which Binance terminates the commercial arrangements, subject to customary exceptions. It retains voting rights during that period.

The investment builds on a relationship that began taking shape in late 2024, when Binance and Circle expanded USDC across Binance’s trading, savings and payment products, with the exchange also adopting USDC for part of its corporate treasury.

“Our $100 million investment and five-year commitment represent long-duration conviction,” Binance co-CEO Richard Teng said. “We are helping to build a more inclusive, transparent, and compliant digital economy.”

How Will Binance Get Paid to Promote USDC?

The equity purchase closed alongside a new five-year commercial arrangement that replaces previous USDC agreements signed in November 2024 and August 2025.

Circle agreed to pay Binance a monthly incentive fee based on a percentage of the USDC held through Circle’s Modular Smart Contract Wallet service. Binance, in return, will conduct promotional activities intended to increase USDC adoption on its platform.

The structure matters because distribution costs are already an important part of Circle’s economics. Circle has previously disclosed that payments to major distributors including Binance and Coinbase depend partly on the quantity of USDC held through their platforms. More USDC distributed through incentivized partners can increase circulation while also increasing the amount Circle pays to those partners.

Circle recently renewed its long-term USDC distribution agreement with Coinbase, making Binance another major distribution channel tied to Circle through a multi-year commercial relationship.

Investor Takeaway

The transaction ties Binance’s incentives to Circle in two ways. Binance can earn fees as USDC balances grow on its infrastructure while also benefiting as a shareholder if wider USDC adoption increases Circle’s equity value.

Why Does the $100 Million Equity Stake Matter?

The share purchase makes the relationship more durable than a conventional exchange listing or promotional agreement. Binance now has capital at risk in Circle while being contractually committed to supporting USDC for five years.

The two-year transfer restriction also reduces the likelihood that the private placement represents a short-term financial trade. Binance cannot immediately sell the discounted shares into the public market, aligning at least part of its economic exposure with Circle’s longer-term performance.

The deal comes as USDC is gaining ground in transaction activity. Recent Visa-adjusted blockchain data showed that USDC accounted for roughly 70% of adjusted stablecoin transaction volume during the first half of 2026, compared with approximately 25% for Tether’s USDT, although USDT remains larger by circulating supply.

Binance offers Circle something different from many institutional partners: direct access to a large global pool of crypto traders and stablecoin liquidity. Increasing the amount of USDC held and traded on the exchange could improve liquidity across USDC pairs and make the token more useful as collateral, settlement currency and a bridge between fiat and crypto markets.

What Does Circle Gain Beyond Binance Distribution?

Circle is increasingly building USDC around a wider financial network rather than treating the stablecoin as a standalone token. Its Arc blockchain launched on public mainnet in September with USDC serving as its native transaction asset, while Circle continues to expand payments, settlement and institutional infrastructure around the stablecoin.

Binance can provide a large distribution endpoint for that strategy. The exchange completed USDC integration on Arc shortly before the equity investment closed, allowing users to deposit USDC issued on Circle’s new network.

Circle CEO Jeremy Allaire said the companies see opportunities to use USDC for savings, investment products and dollar access across emerging markets.

The commercial arrangement can be terminated early under specified conditions, so the five-year term is not absolute. But the combination of a $100 million locked-up equity investment, recurring distribution payments and platform promotion makes the latest agreement considerably deeper than the companies’ original USDC partnership.

For Circle, the test will be whether paying major distributors translates into enough additional USDC balances and activity to justify the cost. For Binance, the deal means success in expanding USDC can now generate both commercial fees and potential returns on its Circle shareholding.
