Was Ondo Finance Put Up for Sale?

Tokenization platform Ondo Finance was reportedly presented to potential buyers following the sudden death of founder and CEO Nathan Allman, adding another layer to a corporate control dispute surrounding one of the largest companies in the real-world asset market.

People familiar with the matter said outreach to prospective acquirers took place sometime after Allman died on May 25 at age 32. It remains unclear who initiated or authorized the effort, and Ondo strongly denies that the company itself pursued a sale.

“Nobody at the company has shopped it for sale, been in sales talks, or engaged or asked anyone to do so on its behalf. There are no facts to support this,” an Ondo spokesperson said, calling reports of a potential sale “wholly untrue.”

The uncertainty matters because Allman died without a will while holding a controlling stake in Ondo. His estate ultimately passed to his parents, while Ian De Bode, previously the company’s president, assumed the CEO role. De Bode took over day-to-day leadership of the tokenization business immediately after Allman’s death.

How Does the Control Fight Affect a Potential Deal?

The succession became a legal dispute in August when Allman’s estate challenged De Bode’s authority and alleged an unlawful attempt to take control of the business and its finances. De Bode has disputed those allegations.

Under the current court arrangement, De Bode remains CEO and can oversee ordinary operations, but major corporate changes are restricted while the ownership dispute proceeds. That would make any acquisition or sale of the company considerably more complicated until control is resolved.

A separate petition involving Allman’s half-sister and an Ondo investor has challenged his mother Kathleen Allman’s ability to exercise control over her portion of the estate. Kathleen has denied the allegations.

The dispute is especially important because Allman’s estate includes not only voting control over the private company but also a large holding of ONDO tokens. A change in control could therefore affect both Ondo’s corporate ownership and a substantial pool of assets linked to its wider ecosystem.

Investor Takeaway

The immediate issue is not whether Ondo has found a buyer. The larger question is who has the legal authority to make a transaction of that scale. Until the control dispute is resolved, any potential sale would face an unusually complicated approval process.

Why Would Ondo Attract Buyers?

Ondo has become one of the largest businesses connecting traditional securities with blockchain infrastructure. Founded in 2021 by former Goldman Sachs executives, the New York company offers tokenized U.S. Treasuries, stocks and other financial products, with more than $3.8 billion across its offerings.

Its OUSG Treasury product invests in assets including BlackRock’s BUIDL tokenized fund, while Ondo has expanded aggressively into tokenized equities and institutional infrastructure. Earlier this week, the company introduced direct in-kind conversions between traditional shares and Ondo’s tokenized stocks through Alpaca.

Ondo also launched three tokenized investment portfolios on September 24 based on strategies developed by BlackRock. The BlackRock-powered Ondo portfolios extend the business from individual tokenized assets into professionally constructed baskets delivered through single blockchain tokens.

The company has raised $24 million through disclosed equity rounds, including a $20 million Series A led by Founders Fund and Pantera Capital in 2022, while an earlier token sale raised another $10 million. Other backers include Coinbase Ventures and Tiger Global. No public valuation was attached to its announced equity rounds, and the price discussed during any reported sale outreach is unknown.

Was Ondo Previously Looking to Buy Rather Than Sell?

The reported sale outreach creates an unusual contrast with Ondo’s strategy before the succession fight. In July, Ondo was evaluating potential acquisitions valued between $250 million and $500 million, including targets in wealth technology and other financial sectors.

That expansion strategy came during an active period for crypto mergers and acquisitions, particularly around tokenized finance infrastructure. Industry data put announced crypto M&A volume at $12.9 billion during the second quarter of 2026, the second-highest quarterly total recorded for the sector.

Ondo’s operations have continued despite the ownership battle, including this week’s product launches. That makes the reported buyer outreach less straightforward than a company entering a conventional sale process.

For now, there is no confirmed transaction, disclosed valuation or identified bidder. Ondo denies that anyone acting for the company sought buyers, while people familiar with the matter maintain that acquisition outreach occurred after Allman’s death. With major corporate actions constrained by the court and control of the company still disputed, the ownership question may need to be settled before the market can determine whether Ondo is an acquisition target at all.
