Elon Musk Pledges a SpaceX Share to Every American Child…

Elon Musk said on Monday morning that he will hand one of his own SpaceX shares to every child in America next year, a pledge worth roughly $10.5 billion at Friday’s closing price for SpaceX stock. He gave no mechanism, no eligibility definition and no date beyond “next year.”

SpaceX stock treated the announcement as noise rather than as a corporate event worth repricing. The shares closed Friday at $146.03, down 1.74%, and opened the premarket session at $146.25, a gain of 0.15%, leaving the company at a $1.98 trillion valuation.

The Post Went Up Before 4 a.m. Eastern and Named No Mechanism

Musk wrote on X that “next year, I will give one of my SpaceX shares to every kid in America. This will be the first of many,” posting just before 4 a.m. Eastern on Monday. Nothing in the post defines whether “kid” means every American under 18, how the shares reach recipients, or what happens to the tax liability attached to a gift of that size.

The vehicle appears to be Trump Accounts, the tax-advantaged accounts for US minors created under the budget law. The Treasury Department automatically opened accounts for more than 60 million children, taking the nationwide total close to 70 million, Benzinga reported. The IRS says the separate $1,000 federal seed contribution goes to citizens born between 1 January 2025 and 31 December 2028, a far narrower group than the pledge describes.

Seventy-Two Million Children Puts the Bill at About $10.5 Billion

Two separate counts of the eligible population are circulating, and they land in the same region. Axios applied the Census Bureau figure of just over 72 million people under 18 to Friday’s $146.03 close and reached a little over $10.5 billion. CNBC put the qualifying population nearer 70 million, which works out around $10.2 billion on the same price.

Either figure would make this the largest single gift of its kind on record, and all of it in SpaceX stock. Michael and Susan Dell pledged $6.25 billion to fund accounts for 25 million children under 10, Treasury Secretary Scott Bessent said in January, so Musk’s figure runs close to double it. SpaceX president Gwynne Shotwell and her husband separately committed one share each to more than two million children, worth about $325 million at the time.

Investor Takeaway

A giveaway of about 72 million shares would come out of Musk’s personal holding rather than from new issuance, so there is no dilution to existing holders of SpaceX stock in the pledge as described.

Musk’s 6.42 Billion Shares Carry a 366-Day Lock-Up Running to June 2027

The timing on the pledge is tighter than the post suggests, because of how Musk’s SpaceX stock is held. Musk disclosed 849,494,440 Class A shares held as trustee, 3,916,980,790 Class B shares, 1,302,072,285 restricted Class B shares and 350,000,000 Class B shares issuable on options in an SEC filing covering 30 June, a 48.4% stake totaling about 6.42 billion shares.

Those shares are the ones subject to the longest restriction in the offering. The founder holding carries a 366-day lock-up from the pricing date with no early-release provisions, which keeps it untradeable until 12 or 13 June 2027, while the rest of the pre-IPO base unlocks on a tiered calendar that runs through 8 December. A pledge for “next year” therefore sits on the right side of that date only in the second half of 2027, and Musk has not said whether a gift transfer would be carved out of the restriction or wait for it to lapse, which is the question hanging over any near-term transfer of SpaceX stock.

SpaceX Stock Opened Flat After a Week That Took 11.68% Off It

Last week was the worst five-session stretch for SpaceX stock since the June listing. The shares fell 11.68%, part of a tape that handed the Nasdaq its steepest week since June, and the slide wiped out an early-October rally that had carried them toward $176. SpaceX stock is still 14.60% higher over three months, above the $135.00 IPO price from 12 June and well above the August trough that took it under $115.

Investor Takeaway

SpaceX stock barely moved on a pledge worth about $10.5 billion, which reads as the market pricing a personal gift rather than a corporate action.

The Pledge Lands Beside Anthropic’s 5% Set-Aside

Musk posted the same week Anthropic said it would reserve 5% of its shares for a fund backing public interest work, a pairing Benzinga drew in its own coverage. Anthropic’s set-aside comes from the company’s own equity while Musk’s would come from his personal holding, and both commit stock in a loss-making business to a public purpose. The company behind SpaceX stock reported a net loss of $4.94 billion on revenue of $18.67 billion in its last full year.

Neither SpaceX nor Musk has published any terms for the transfer or named a date for it. Until they do, the pledge is a sentence on X with a price tag attached, and the range around SpaceX stock stays where FinanceFeeds’ $203 bull and $103 bear scenarios put it.
