The obvious reading is that Silence Therapeutics has already been taken out at $20. It has not. Nasdaq’s official close on Monday 19 October 2026 was $19.58, up $10.90, or 125.58 percent, from Friday’s $8.68. The buyer is Merck KGaA, Darmstadt, Germany (OTC: MKKGY), not Merck & Co., the US drugmaker that uses the ticker MRK. Merck KGaA has agreed to pay $20.00 in cash per American depositary share if a UK scheme of arrangement closes. On the 90 daily log-returns through Monday, a 51-session path prints a bull at $113.69, a base at $38.27 and a bear at $18.52.
The regular session is the part consensus coverage skips. It opened at $19.585 and traded from $19.56 to $19.61, a five-cent range under the bid. The 125.58 percent figure is the gap from Friday’s close, not a climb through $20. The formula bull of $113.69 exists because that one session stays inside the 90-day sample. Anything in that formula above $20 is not an offer from Merck KGaA.
Key facts
- Monday close: $19.58, up $10.90 or 125.58 percent from Friday’s $8.68. High $19.61, low $19.56, volume 71,918,760. Nasdaq SLN history, 16 and 19 October 2026. Nasdaq SLN history.
- Cash bid: $20.00 per ADS, or $6.6667 per ordinary share. Each ADS is three ordinary shares. Equity value about $1.3 billion, enterprise value $1.1 billion. Silence Exhibit 99.1, 19 October 2026. SEC Exhibit 99.1.
- Premiums in that exhibit: 130 percent versus the 16 October close, and 82 percent versus the 30-day volume-weighted average price of $10.99. Same exhibit, 19 October 2026.
- Deal shape: a UK scheme under Part 26 of the Companies Act 2006, aimed at the first quarter of 2027. It needs a shareholder vote and sanction by the High Court of Justice of England and Wales. About 14 percent of the voting power has signed support. Same exhibit.
- Funding: new debt, and about 80 people in the UK, the US and Germany. Merck KGaA announcement, 19 October 2026. Business Wire text.
- No financing out: closing has no financing condition. The termination fee in the stated cases is $13 million. The outside date is 11:59 p.m. London time on 30 April 2027. Form 8-K, 19 October 2026, agreement dated 18 October. Form 8-K.
- The drug: divesiran, for phlebotomy-dependent polycythemia vera. Phase 2 response was 88 percent versus 19 percent on placebo. Silence exhibit, 10 August 2026. Phase 2 exhibit.
- This desk’s band: bull $113.69, base $38.27, bear $18.52, from 90 log-returns through Monday and 51 sessions to 31 December 2026. Not a street target, and not the cash bid.
What just happened, and why the obvious reading is wrong
Silence signed with Merck KGaA on 18 October 2026 and announced the deal on 19 October. Consideration is $20.00 per ADS and $6.6667 per ordinary share. The 8-K says each ADS is three ordinary shares. Monday opened at $19.585 against Friday’s $8.68, then traded from $19.56 to $19.61 and closed at $19.58. The 125.58 percent gain is the gap into the bid. A completed takeout would have closed on $20.00. The high was 39 cents short. The gross spread is $0.42, or 2.15 percent of $19.58. That is about 4.8 percent simple-annualized over 163 days to 31 March 2027, and about 4.1 percent over 193 days to 30 April 2027. It is an arbitrage residual.
The clinical print did not force the gap. On 10 August 2026 SLN closed at $15.43, up 29.1 percent from $11.95 on 7 August. By Friday 16 October the close was $8.68, 43.7 percent below 10 August and 27.4 percent below 7 August. Twenty dollars is only $4.57 above that August close. Monday’s volume was 71,918,760 shares, against a 30-session mean of 1,037,083 from 4 September through 16 October 2026, about 69 times that average. Once the session opened, the price did not move.
A premarket quote is not a second close. At 8:26 a.m. Eastern on Tuesday 20 October 2026, Nasdaq still marked the stock pre-market, and the last sale was $19.5805. The historical file saved at that check still ended on Monday. The closes used here are Friday’s and Monday’s official prints.
Who is exposed
ADS holders own a $0.42 gross spread if the scheme pays $20.00, and a gap back toward Friday’s $8.68 if it does not. Ordinary holders have the same economics at $6.6667 a share. Nobody has been paid. About 14 percent of the voting power has agreed to vote in favor, and those agreements fall away if the price or the form of consideration changes. Fourteen percent is not the vote. The scheme still needs a majority in number representing at least 75 percent in value, plus a special resolution of at least 75 percent of voting rights.
Options, other than a defined plan path, vest and pay only the excess of $20.00 over the strike. This desk has no strike list. The $13 million fee is paid to Merck KGaA, not to holders of the gap, and it is about 1 percent of the $1.3 billion equity value. Monday’s $19.61 high was not a rival. Merck KGaA funds the deal with new debt and has no financing condition. About $1.3 billion of equity value minus $1.1 billion of enterprise value implies about $200 million of net cash. That is arithmetic, not a re-audited balance sheet.
Patients are not paid by the gap. Phase 3 of the every-12-week dose against placebo is only anticipated in the first half of 2027. A trial can reprice a biotech without a cash ceiling, as FinanceFeeds described for Vaxcyte after VAX-31. A clinical surge can also be given back, as in the Moderna pullback. The buyer can be the name marked down for pipeline spending, as with Novo Nordisk’s pipeline plan. Monday’s SLN tape was a cash residual, not those stories.
What the tape and the filings show
The exhibit’s 130 percent is $20.00 against Friday’s close. This desk’s 125.58 percent is $19.58 against $8.68, which matches the Nasdaq change of +$10.90. Twenty dollars divided by $8.68 is a 130.4 percent premium, the exhibit’s 130 percent. Against the stated VWAP of $10.99, the premium is 82.0 percent. This desk did not rebuild that VWAP from daily closes.

The chart is split so an axis to $113.69 does not flatten a tape that spent the year between roughly $4 and $16. The February low in the file is $4.19. The bear at $18.52 sits above every earlier close. A 90-day sigma after a 125.58 percent session warns that the jump dominates the sample. It is not a forecast that the shares trend through the cash bid.
What Silence and Merck KGaA have said
Iain Ross, interim principal executive officer and chairman of the Silence board, said in the 19 October exhibit: “We are pleased to have reached this agreement with Merck KGaA, Darmstadt, Germany, which is the result of a competitive sale process and delivers significant, immediate and certain value to our shareholders.” He called the Phase 2 data potentially best in class and said the buyer can accelerate Phase 3. The exhibit does not say Phase 3 has started, and it does not say a higher bid was still live.
Kai Beckmann, chairman of the executive board and group chief executive of Merck KGaA, Darmstadt, Germany, said in the same exhibit: “The planned acquisition of Silence Therapeutics will strengthen our capabilities to serve patients with targeted specialty and rare diseases.”
Merck KGaA’s announcement the same day is the source for new-debt funding, about 80 employees, and the phrase “a chronic myeloproliferative neoplasm, a type of rare blood cancer.” Silence’s exhibit says polycythemia vera and does not call divesiran approved. Danny Bar-Zohar, healthcare chief executive, described the Phase 2 data and a once-every-three-month dose as the case for the purchase, as reported there.
Curtis Rambaran, chief medical officer, said in the 10 August exhibit: “The SANRECO Phase 2 trial delivered our best-case outcome, confirming the impressive results observed in Phase 1 with dosing every six weeks and demonstrating equally robust and durable effects with quarterly dosing.” Response meant no phlebotomy and hematocrit below 45 percent in weeks 18 through 36: 88 percent versus 19 percent in 48 patients. The quarterly arm named for Phase 3 was 81.3 percent, against 93.8 percent every six weeks. Neither release comments on Monday’s print or prints a share count beside the approximate $1.3 billion equity value.
X times the tape. It is not the 8-K. At 12:03 GMT on 19 October, before the US open, First Squawk posted: “MERCK KGAA TO BUY SILENCE THERAPEUTICS FOR $20/ADS IN CASH.” That status is why the session faced a known bid. Daphne Zohar, founder and chief executive of Seaport Therapeutics, wrote of an “acquisition by Merck today for $1.3B cash, 130% premium to Friday’s close.” Her post says Merck. The filing says Merck KGaA. After the close, Anna Weber put the print at a “$19.58 close” against “$20 per ADS.” That status matches Nasdaq.
Where the deal can still break
The 8-K conditions are a shareholder vote at the 75 percent value test, expiration or termination of the Hart-Scott-Rodino waiting period, German antitrust approval or deemed approval, and sanction by the High Court of Justice of England and Wales. There must be no blocking order and no Silence material adverse effect. There is no financing condition. The outside date is 11:59 p.m. London time on 30 April 2027. If the court has not sanctioned the scheme less than five business days before that clock, the end date extends by five business days only.
Merck KGaA can terminate if the Silence board changes its recommendation or for an uncured breach. Silence can terminate before the vote to sign a superior proposal. The $13 million fee can follow a board flip, that proposal, or an alternative signed within 12 months after a failed vote, a breach, or the outside date. It does not insure a holder who paid $19.58. The proxy is still ahead, so holders have a summary, not the scheme document.
Bull, base and bear
These prices are this desk’s arithmetic on the Nasdaq closes. They are not analyst targets and they are not the cash bid. The sample is the last 90 daily log-returns, ending Monday 19 October 2026. A log-return is the natural log of one close divided by the prior close. Mu is 0.0131416574. Sigma, the sample standard deviation, is 0.1016336116. N is 51 because the cited close is Monday. Tuesday’s official close was not in the file.
Base is $19.58 times e to the power of N times mu. N times mu is 0.6702245285, and the price is $38.27. Bull adds 1.5 times sigma times the square root of 51. That root is 7.1414284285. Sigma times the root is 0.7258091630, so the 1.5-sigma term is 1.0887137445. The bull exponent is 1.758938273, and the price is $113.69. Bear subtracts one sigma times the root. The bear exponent is -0.0555846345, and the price is $18.52. The drift is positive, so the bull keeps the drift. The no-drift rule is not used.
Monday’s log-return, the natural log of 19.58 over 8.68, is 0.8134871084. That single session is 68.8 percent of mu. Sigma on the other 89 returns is 0.0555515460, and Monday is about 14.6 times that ex-jump daily sigma. The session stays in the sample. The bull at $113.69 and the base at $38.27 sit above the $20 bid because the formula treats the gap as repeatable drift. The excess is a broken formula, not a topping bid and not Merck KGaA’s offer. The bear at $18.52 is only $1.06 under the close. A break to $8.68 is outside that case.
| Case | Price | Versus the $19.58 close | What has to be true |
|---|---|---|---|
| Bull | $113.69 | $94.11 above, about 481 percent | Drift plus 1.5 standard deviations for 51 sessions, jump included. Anything above $20 is the formula, not a Merck KGaA offer. |
| Base | $38.27 | $18.69 above, about 95 percent | Drift only. About 69 percent of the mean log-return is Monday, so compounding it is not a deal price. |
| Bear | $18.52 | $1.06 below, about 5.4 percent | Drift minus one standard deviation. Friday’s $8.68 is a failed scheme, not this case. |
N counts 51 sessions from Tuesday 20 October 2026 through Thursday 31 December 2026. October after the 19th: the 20th, 21st, 22nd, 23rd, 26th, 27th, 28th, 29th and 30th, which is 9. The 24th and 25th are the weekend, and the 31st is a Saturday. November weekdays, excluding Thanksgiving on Thursday 26 November and counting Friday 27 November: 20. December weekdays, excluding Christmas on Friday 25 December and counting 24 December: 22. Nine plus 20 plus 22 is 51.
This is not financial advice. The band describes the last 90 closes, one of which was a signed cash bid. It does not say Merck KGaA pays more than $20, and it does not say the scheme fails.
What happens next
Through Friday 23 October 2026, official closes should stay within a few tens of cents of $19.58 if the week adds no filing, no rival, and no antitrust leak. A close under $18 would mean the day-one spread has broken for a reason in a document, not in the formula bull.
Before 31 December 2026, the proxy and scheme circular need to be in holders’ hands if a meeting and a High Court hearing are to fit a first-quarter 2027 close. A circular still private at year-end pushes the 75 percent vote and the court toward 30 April 2027.
On 30 April 2027, at 11:59 p.m. London time, the end date arrives. The only automatic relief is five business days, and only if the court has not sanctioned the scheme just before that clock. After that the paths are termination, including the $13 million fee in the cases the 8-K lists, or a rewritten deal. None of them is a drift to $113.69.
Frequently asked questions
Is the Silence Therapeutics jump already a completed move to $20, or a print that can reverse if the scheme wobbles?
It is not a completed move to $20. Monday’s official close was $19.58, and the $20.00 cash still needs a shareholder vote, a High Court sanction and antitrust clearances. The regular session never printed the bid. The high was $19.61. If the scheme fails, the last close set without a signed bid was Friday’s $8.68, and the formula bear of $18.52 does not describe that break.
Who is buying Silence Therapeutics, Merck or Merck KGaA?
The buyer is Merck KGaA, Darmstadt, Germany, the company whose US over-the-counter ticker is MKKGY, not Merck & Co., the US drugmaker known as MRK. Silence’s 19 October exhibit and Merck KGaA’s announcement both use the Darmstadt name on the $20.00 ADS bid and the equity value of about $1.3 billion. A headline that says only Merck is not describing the US pharmaceutical major.
What are the Silence Therapeutics bull and bear prices?
The bull is $113.69 and the bear is $18.52, against Monday’s $19.58 close. The base, which is drift only, is $38.27. All three use 90 daily log-returns through 19 October 2026, a sample standard deviation, and 51 sessions to 31 December 2026. The bull and the base sit above the $20 cash bid because the 125.58 percent jump is inside the sample. That excess is the formula, not a bid.
What has to happen before holders receive $20?
Holders are not paid until the scheme is effective. The 8-K requires a shareholder vote, including 75 percent in value at the scheme meeting, sanction by the High Court of Justice of England and Wales, and US and German antitrust steps. There is no financing condition. The companies expect a close in the first quarter of 2027. The outside date is 30 April 2027 at 11:59 p.m. London time.
What did the Phase 2 divesiran trial show?
Silence’s 10 August 2026 exhibit said 88 percent of divesiran patients responded, against 19 percent on placebo. A response was no phlebotomy and hematocrit held below 45 percent in weeks 18 through 36. The every-six-week group responded at 93.8 percent and the every-twelve-week group at 81.3 percent. Mean phlebotomies were 0.2 against 2.1. The study had 48 patients. Phase 3 of the quarterly dose is only anticipated in the first half of 2027.
Can Silence Therapeutics stock fall back toward Friday’s $8.68?
Yes, if the scheme fails. The formula bear of $18.52 is only $1.06 under Monday’s close, because the jump is still inside the drift. Friday’s official close was $8.68, and the 7 August close, before the Phase 2 session, was $11.95. A lost vote or a court refusal is a repricing toward that pre-bid tape. It is not a gentle walk from $19.58 down to $18.52.
